Indena completes cosmetics business sale to Givaudan

Italian botanicals firm Indena completes the sale of its nutricosmetics business to Swiss-based Givaudan in a deal that began in 2019 and introduces a manufacturing and innovation pact between the two firms.

The deal builds on an existing long-term relationship that sees Indena continue to manufacture ingredients for Givaudan and to provide innovation capabilities and other supporting services.

“We believe that Givaudan, with its very long history and tradition in innovating taste and scent, coupled with its strong commercial presence, is the right partner to further strengthen this business in the future​,” says Daniele Giavini, managing director of Indena.

“Givaudan’s culture and its knowledge of natural cosmetic ingredients, as well as the use of the latest sustainable biotechnologies to create high performing functional products, fit well with the philosophy we have consistently adopted at Indena throughout our history.

“We have been in favour of this deal as it enables Indena to fully manage, focus on and expand its growing core markets, Pharmaceuticals and Healthfood, whilst continuing to support the cosmetic ingredients business which has been a valuable part of our portfolio.”

Alderys acquisition

Completion of the acquisition ends the long-running deal that began in November 2019. Since then Givaudan has made further efforts with activity that aligns with its long-term strategy for Active Beauty.

Only last week, the firm announced its intention to acquire Alderys, a French biotechnology company, which develops approaches to the biological engineering of valuable compounds from renewable feedstock.

The projects developed by Alderys are aimed at the chemical and cosmetic industry sectors as well as nutrition.

Maurizio Volpi, president of Givaudan’s Fragrance Division described their biotechnology expertise as ‘fully complementary to our Fragrance and Active Beauty businesses.’

‘It will be an additional tool to drive our future development and innovation in the active cosmetic ingredients space and beyond,’​ he added.

Further moves to bolster its Naturals and Health & Well-being interests include the launch of Synchronight​, an active cosmetic ingredient made from gardenia fruit extract designed to protect the skin from ‘digital stress.’

Made available in March, Synchronight, which is activated by the microbiome, claims to protect the skin against the blue light emitted by electronic devices. The ingredient acts as a shield allowing skin melatonin to regulate the sleep-wake cycle.

Natural cosmetic ingredients

Indena’s portfolio of nutricosmetic-focused ingredients include ginger extract (whitening, antioxidant activity, soothing), green tea extract (tonic, antioxidant) and millet extract (Skin restructurant, Skin barrier function improver).
